# Terms of Service

## 1. Overview
|
||
These Terms of Service (“Terms”) govern the relationship between **CodeVelo.dev LLC** (“CodeVelo,” “we,” or “our”) and the client (“Client,” “you”) for all services provided. By using our services, you agree to these Terms.
|
||
|
||

||
## 2. Scope of Work
|
||
The specific scope, deliverables, and milestones will be defined in the applicable **Project Proposal** or **Statement of Work (SOW)**. Any changes require written agreement by both parties.
|
||
|
||

|
||
|
||
## 3. Payment
|
||
- A deposit is required before project commencement unless otherwise stated.
|
||
- Invoices are payable within 15 days of issue.
|
||
- Late payments may incur a 2% monthly finance charge.
|
||
- Ownership of deliverables transfers to the Client **only after full payment is received**.
|
||
|
||

||
## 4. Intellectual Property
|
||
Upon final payment:
|
||
- All intellectual property created under the contract is transferred to the Client.
|
||
- CodeVelo retains the right to display the project for **portfolio and marketing** purposes.
|
||
|
||
Pre-existing tools or frameworks remain the property of CodeVelo.
|
||
|
||

## 5. Confidentiality
|
||
Both parties agree to maintain confidentiality regarding proprietary information, trade secrets, and client data disclosed during the project.
|
||
|
||

||
|
||
## 6. Warranties & Limitations
|
||
CodeVelo warrants that services will be performed professionally and to industry standards.
|
||
We are not liable for indirect or consequential damages. Total liability shall not exceed the amount paid for the project.
|
||
|
||

||

||
## 7. Termination
|
||
Either party may terminate the agreement with written notice. Client must pay for work completed up to termination date. Deposits are non-refundable.
|
||
|
||

|
||
|
||
## 8. Governing Law
|
||
These Terms are governed by the laws of **West Virginia, United States**.
|
||
|
||
